OUR SERVICES TO THE SELLER INCLUDE
- Review and analyze the business, operations, and financial condition of the Company
- Assist the Company in its preparation of due diligence and other marketing/financing related materials, including a short-form Descriptive Memorandum (the “Memorandum”)
- Prepare certain valuation analyses to assist in the sale process
- Identify and evaluate potential buyers (“Buyers”) for the Company or its assets
- Contact and interact with Buyers, arrange facility visits, due diligence and conduct management interviews, with a view toward having interested parties submit offers
- Advise the Company as to the timing, structure and closing of a transaction
- Be available throughout the transaction process to consult with, and/or negotiate on behalf of, the Company to facilitate a transaction through final closing
- Provide such other financial advisory and investment banking services as are customary for a similar engagement

OUR SERVICES TO THE BUYER INCLUDE:
- Consult with the Buyer to develop a clear acquisition strategy, including defining the broad corporate objectives and development of a viable “search & screen” program designed to identify and contact potential acquisitions that meet a particular set of criteria (“Target(s)”)
- Manage the initial contact of Target companies to determine their interest in a transaction
- Perform due diligence review and analysis of Target companies, including an evaluation of their business, operations, financial condition, and prospective synergies
- Advise the Company with regard to the valuation, structure and submission of a purchase offer or “Letter of Intent” (“LOI”) that sets forth the proposed transaction parameters
- Upon acceptance of an LOI, advise the Company as to the timing, structure and closing of a Transaction
- Assist the Company with financing of a transaction
- Be available throughout the transaction process to consult with, and/or negotiate on behalf of, the Company to facilitate a transaction through final closing
